Hello Manhattan Modeler,

FIRST ANNUAL MEETING REMINDER

           We’re kicking off 2024 with our first annual meeting of the membership as called for by the By-Laws that we adopted this past summer. We’ll hold this meeting in videoconference form on our Discord Manhattan Modelers server (https://discord.gg/BNY4K5xhdg). The meeting will convene on Tuesday, January 16^th, 2024 at 8pm EST. Our primary task will be to elect the first full Board of Directors. There will be the usual update on the state of affairs, any matters the members may wish to raise, and at the close of any other business matters, the floor will be open for general fun and conversation. This is a reminder for members please to attend this meeting so that we can meet the quorum threshold required by the By-Laws and proceed with the election. We plan to conduct voting via an Internet poll as we did for adoption of the By-Laws to insure ballot confidentiality. 

IF YOU CAN’T ATTEND THE JANUARY 16^TH MEETING, YOU CAN DESIGNATE ANOTHER MANHATTAN MODELERS MEMBER AS YOUR “PINCH HITTER” PROXY TO VOTE ON YOUR BEHALF. TO DO THAT, PLEASE FILL OUT THE ATTACHED PROXY FORM, EITHER PRINT IT OUT OR PDF IT, AND GET IT TO ANDY ESTEP, HEATH HURWITZ, OR DAN FREE ON OR BEFORE JANUARY 15^TH.

                                                                                         (insert name of your designated proxy) or failing him/her the duly appointed chairman of the Annual General Meeting (the “Chairman”) as my proxy to vote for me and on my behalf at the Annual General Meeting of the Manhattan Modelers (the “AGM”) to be held on Tuesday, 16th day of January 2024 at 8:00pm EST by videoconference and/or at any adjournment of the 2024 AGM. My proxy is empowered to vote as I have previously instructed him/her for the election of any number of Directors of the Manhattan Modelers and on any other business that may be raised at the AGM.

You may instruct your proxy to vote for or against any Board of Directors candidate as you see fit, or to abstain from voting in respect of any particular candidate, but by signing this, you agree that the vote of the proxy you have listed above shall be binding and conclusive evidence of the instructions you have given him/her.

We have setup a Manhattan Modelers Discord as a place to share projects & ideas, post events, ask and answer questions and make connections.

We have chosen Discord because it is organized around specific interests instead of providing a unified newsfeed. Discord is focused on real-time interactions between people, whereas other social media options function as internet message boards.

Discord also has a Zoom like video conferencing feature, but without the limits of the free Zoom.
