You Need Consent!

Having several businesses under one company registration is not what makes a group of companies.

And You can't use the word "group, consortium, or holding " in your company name without applying for consent to use any of the words.

Group, holding, and consortium are restricted words and can only be used when consent is granted by the registrar general of the CAC.

Consent to use the word group in your company name will not be granted unless the following conditions are met......


1. There is evidence of at least three (3) registered limited liability companies.


2. The three companies must have common shareholders and similar names.

That is, the same set of people must be shareholders in companies A, B, and C


3. The three companies must pass a resolution consenting to the "group" relationship


4. The annual returns of all the existing companies (subsidiaries) must have been filed and updated.


5. A fresh company must be registered and its share capital must not be less than the share capital of any of the subsidiaries


You must meet all these requirements before you can go ahead to have a group of companies.



If you haven't gone through this process, then you have no legal right to use the word "group" in naming your business.
